THE BUXTON TOOLKIT – TERMS & CONDITIONS OF USE
THIS AGREEMENT is made between:
1. Vision Buxton Limited (Company Number 4309544) whose registered office is at 4 The Quadrant, Buxton, Derbyshire SK17 6AW and
2. Organisation, as defined on the Buxton Toolkit Application Form at: www.visionbuxton.co.uk/buxton-toolkit/
IT IS AGREED as follows:
1. Definitions and interpretation
1.1 In this Agreement the following terms shall have the following meanings:
‘The Toolkit’ the logo and strapline ‘ENGLAND’S LEADING SPA TOWN’;
‘The Identity Guidelines’ the sixteen page document (Version 3.0) dated September 2015 and any subsequent
versions that are published on the Vision Buxton website;
‘Rights’ the non-exclusive right by way of licence to use the Toolkit to promote the organisation
and/or the town of Buxton, Derbyshire but not further or otherwise.
1.2 In this Agreement words and expressions that are defined in the Copyright, Designs and Patents Act 1988 shall
bear the same meanings in this Agreement.
1.3 The expression ‘copyright’ shall include the entire copyright, design, right, rental right, right to authorise or
prohibit lending, database right, right of communication to the public and distribution right subsisting now or
created at any time under the laws of the United Kingdom.
2. Grant of Rights
In consideration of the obligations on the part of the Organisation set out below Vision Buxton grants the Rights to the
Organisation.
3. Organisations
The Organisation agrees with Vision Buxton:
3.1 Not to use the Toolkit for any purpose other than promoting the Organisation and/or the town of Buxton,
Derbyshire;
3.2 Not to use the Toolkit in any way which could bring Vision Buxton and/or Buxton, Derbyshire into
disrepute;
3.3 To adhere to the Identity Guidelines;
3.4 Not to assign or sublicense the Rights or allow them to be used by any other party; and
3.5 Not to disclose to any other party the username and password issued to it to access the Toolkit.
4. General
4.1 Whole agreement
This Agreement contains the whole agreement between the parties and supersedes any prior written or oral
agreement between them in relation to its subject matter, and the parties confirm that they have not entered into
this Agreement upon the basis of any representations that are not expressly incorporated into this Agreement. No
oral explanation or oral information given by any party shall alter or affect the interpretation of this Agreement.
4.2 Proper law and jurisdiction
This Agreement shall be governed by English law in every particular, including formation and interpretation, and
shall be deemed to have been made in England, and the parties agree to submit to the exclusive jurisdiction of the
English courts.
4.3 Waiver
The failure by Vision Buxton to enforce at any time or for any period any one or more of the terms or conditions
of this Agreement shall not be a waiver of them, nor of the right at any time subsequently to enforce all terms and
conditions of this Agreement.
4.4 Third parties
Nothing contained in this Agreement is intended to be enforceable pursuant to the Contracts (Rights of Third
Parties) Act 1999 by any third party.
